Key terms to reflect in the contract with a Vietnamese company
The main legal forms are Công ty TNHH (LLC — limited liability company) and Công ty Cổ phần (joint-stock company). The key identifier is the MST (Mã số thuế), a tax identification number of 10–13 digits. You can verify a company through masothue.com.vn or Vietnam's tax authority portal.

The key identifier of a Vietnamese company is the MST (Mã số thuế), a tax number of 10–13 digits. It is assigned upon registration and appears in all official documents — the equivalent of a Russian INN. You can verify a company's status through the masothue.com.vn portal. Include the MST in the contract's details section.
Vietnam ratified the Vienna Convention on Contracts for the International Sale of Goods (CISG) in 2015; the convention entered into force on January 1, 2017. Unlike the UAE, CISG applies automatically when entering into a contract of sale of goods with a Vietnamese company. If you want to exclude CISG or choose a different governing law, state this explicitly.
Vietnam has an extensive port network. The largest container ports are: Cát Lái (Ho Chi Minh City) — handling over 70% of the country's container throughput; Hai Phong — the main gateway to northern Vietnam; Da Nang — serving the central region; Vung Tau — an oil and container terminal. The Free Trade Agreement between the EAEU and Vietnam has been in effect since 2016. It provides for reduced or zero duties on a wide range of goods, subject to rules of origin. When exporting to Vietnam, check with your customs broker whether preferential rates apply to your goods.
