What a finished trade contract looks like and how a sample differs from a template

Our contract has ten sections: subject, price, delivery, payment, warranty and quality, liability, arbitration, force majeure, other terms, and both parties’ addresses and details, including bank details. Goods with HS codes, quantities and prices, the delivery basis and payment terms go into Annex No. 1 (Specification).

Banks and customs in Russia work with the Russian text, the foreign partner with the English one. That is why the contract is bilingual: EN and RU columns, clause opposite clause, no separate translation needed. If the texts differ, Russian prevails (clause 9.1).

Under Bank of Russia Instruction No. 181-I, an import contract of 3 million RUB or more and an export contract of 10 million RUB or more are registered with the bank; the amount is converted at the Central Bank rate on the date of signing. The bank assigns a UNK — a unique contract number. Below the threshold the contract is not registered.

Trade contract sample: what's inside and how to use it

This page shows a completed contract for the import of goods: a Shanghai supplier sells microcontrollers and memory modules to a Russian company on FOB Shanghai terms for USD 50,000. You can see where the parties’ details, HS codes, delivery basis and amount go. Your own contract follows the same structure, filled in with your data.

What the contract consists of

Ten sections: subject, price, delivery, payment, warranty and quality, liability, arbitration, force majeure, other terms, addresses and bank details. Goods, quantities, prices and HS codes go into Annex No. 1 (Specification); a further batch can be covered by a new specification under the same contract.

Two languages in one document

English on the left, Russian on the right, clause opposite clause — no separate translation is needed. Under clause 9.1 the contract is made in two originals in both languages, and the Russian text prevails if the two differ. The same clause gives a contract signed electronically full legal force.

Governing law and disputes

The contract is governed by the legislation of the Russian Federation, and disputes not settled by negotiation go to the International Commercial Arbitration Court at the Chamber of Commerce and Industry of the Russian Federation (clause 7.2). These terms are part of the template and are the same for any counterparty country.

Import and export, goods and services

On import the Russian company is the buyer and pays to the foreign supplier’s bank account; on export it is the seller and receives payment to its own account. A services contract describes the terms and stages of the services instead of delivery, and on completion the parties sign an acceptance certificate.

How to use the finished contract

After payment you receive a DOCX file without a watermark that you can edit in Word, LibreOffice or Google Docs. If the contract amount is 3 million RUB or more on import, or 10 million RUB or more on export, it is registered with an authorized bank under Bank of Russia Instruction No. 181-I, and the bank assigns a unique contract number (UNK).
