It's the legal basis for any cross-border transaction. Without it, the authorized bank won't process an international payment, and customs won't accept the declaration on import or export. Required when buying from a foreign supplier, selling to a foreign buyer, or ordering/providing services to a non-resident.
Under 173-FZ — for deals from 3 million RUB (import / loan received) or from 10 million RUB (export / loan issued). The bank opens a file and assigns a unique registration number. Below these thresholds registration isn't required, but the contract itself is still needed to justify the payment.
On import you are the buyer: you pay a foreign seller and receive goods or work results in Russia. On export you are the seller: you receive currency from a foreign buyer. They differ in Incoterms basis, tax treatment (0% VAT only on export), and the supporting document set.
Depends on the arrangement with your partner.
On import: FOB — the foreign seller loads onto the vessel, freight is yours; CIF — the seller also covers freight and insurance to the Russian port.

Russia Foreign Trade Contract: What You Need to Know

A Russian company starting to work with foreign partners quickly discovers that a standard domestic agreement does not work here. The authorized bank will refuse an international payment, and the customs authority will return the declaration without a foreign trade contract as the basis for the deal. A properly drafted contract is not a formality — it is a working tool that protects both sides and opens the way to currency settlements.

How the bank checks the contract under 173-FZ

The authorized bank must confirm that the subject, amount, deadlines, and both parties' details are stated clearly. For deals above 3 million rubles (import) or 10 million rubles (export) the bank opens a file and assigns a unique registration number. The procedure is set out in Bank of Russia Instruction No. 181-I. Our template contains all the mandatory sections the bank requires for registration.

What customs checks during declaration

When clearing an import or export shipment, the declarant must present the underlying contract as a mandatory document. The inspector checks that the HS code matches the actual product, the Incoterms basis, and the price — these determine the calculation of duties and VAT. Bilingual format and the CISG

Russian authorities accept documents in Russian; foreign partners read English. International practice has settled on a bilingual file with parallel columns: English on the left, Russian on the right. Both texts are legally equal. The template follows the United Nations Convention on Contracts for the International Sale of Goods (CISG) — ratified by more than 90 countries, including China, Germany, the United States, and Japan.

Signing procedure with a foreign counterparty

Remote execution — exchanging scans with wet signatures followed by mailing the originals — is standard practice. A qualified electronic signature is typically not used when dealing with non-residents.
