A foreign trade goods supply contract is the core document of any cross-border transaction. It defines the rights and obligations of the seller and buyer, the terms of transferring the goods, the payment procedure, and each party's liability. The bank checks it before registration, and customs checks it during declaration. Errors in the structure or missing mandatory sections lead to cargo delays or a refused payment.
A good goods supply contract template is not a one-size-fits-all form — it's a document with the right structure for a specific type of deal. For import of goods, the key sections are: the foreign supplier's SWIFT details, the FOB/CIF/EXW basis, advance refund terms in case of non-delivery, and the quality claims procedure. For export of goods: terms for repatriating foreign currency proceeds, confirmation of the zero VAT rate, the FCA/DAP basis, and payment deadlines in line with 173-FZ requirements.
The HS code is stated in the specification and directly affects the amount of customs duties and the need for certificates and permits. Choosing the wrong code is one of the most common mistakes when drawing up a contract. Incoterms 2020 determines who pays for delivery, insurance, and customs clearance, and at what point risk transfers from the seller to the buyer. Without a reference to a specific Incoterms basis, the delivery term is legally undefined.
If both parties are residents of countries that have ratified the CISG, the convention applies to the deal automatically unless excluded in the contract. The CISG governs contract formation, the obligations of the seller and buyer, and remedies for breach.
