The mandatory sections required by the bank (Bank of Russia Instruction No. 181-I) and customs: both parties' details, the subject of the agreement with the HS code, price and currency, the delivery basis under Incoterms, payment procedure and deadlines, delivery deadlines, terms of transfer of title, a list of supporting documents, force majeure, and an arbitration clause.
The structure is similar, but the emphasis differs. In an export contract: terms for repatriating foreign currency proceeds, confirmation of the zero VAT rate on export, and FCA/DAP/DDP bases. In an import contract: the foreign supplier's SWIFT details, FOB/CIF/EXW bases, and advance refund terms in case of non-delivery. The generator builds the right structure automatically based on the type you choose.
Yes. The HS code is stated in the specification (an appendix to the contract) and determines duty rates and certification and phytosanitary control requirements. Customs cross-checks the code in the declaration against the product description in the contract. The generator includes a built-in search across 13,000+ HS codes right in the form.
For sea imports, FOB (the supplier is responsible up to loading on the vessel) or CIF (the supplier also covers freight and insurance) are most common. For exports — FCA (the seller hands the goods to the buyer's carrier) or DAP (the seller delivers to the destination without customs clearance). EXW suits self-pickup from the seller's warehouse. The generator supports all 11 Incoterms 2020 terms.
An import contract is registered from 3 million RUB, an export contract — from 6 million RUB (clause 4.2 of Bank of Russia Instruction No. 181-I). The bank assigns a unique contract number. A contract from our generator contains all the sections required for registration.

Foreign Trade Goods Supply Contract: What You Need to Know

A foreign trade goods supply contract is the core document of any cross-border transaction. It defines the rights and obligations of the seller and buyer, the terms of transferring the goods, the payment procedure, and each party's liability. The bank checks it before registration, and customs checks it during declaration. Errors in the structure or missing mandatory sections lead to cargo delays or a refused payment.

Goods supply contract template: what it must contain

A good goods supply contract template is not a one-size-fits-all form — it's a document with the right structure for a specific type of deal. For import of goods, the key sections are: the foreign supplier's SWIFT details, the FOB/CIF/EXW basis, advance refund terms in case of non-delivery, and the quality claims procedure. For export of goods: terms for repatriating foreign currency proceeds, confirmation of the zero VAT rate, the FCA/DAP basis, and payment deadlines in line with 173-FZ requirements.

HS code and Incoterms — two mandatory elements

The HS code is stated in the specification and directly affects the amount of customs duties and the need for certificates and permits. Choosing the wrong code is one of the most common mistakes when drawing up a contract. Incoterms 2020 determines who pays for delivery, insurance, and customs clearance, and at what point risk transfers from the seller to the buyer. Without a reference to a specific Incoterms basis, the delivery term is legally undefined.

International goods supply contract and the CISG

If both parties are residents of countries that have ratified the CISG, the convention applies to the deal automatically unless excluded in the contract. The CISG governs contract formation, the obligations of the seller and buyer, and remedies for breach. Every foreign trade goods supply contract generated by our tool includes a governing law clause and an arbitration clause — with a choice of the ICAC at the Russian Chamber of Commerce and Industry, the ICC, or SIAC.
