An export contract is required for any sale of goods or services to a foreign buyer. Without it, the bank won't credit the currency proceeds, and customs won't process the export declaration. Mandatory sections: subject, price, deadlines, both parties' details, payment procedure, and the deadline for receiving proceeds.
Under 173-FZ, for export contracts worth 6 million RUB or more, the authorized bank registers the deal and assigns a unique registration number. Below this threshold registration isn't required, but the contract itself is still needed to justify the currency payment and for reporting.
0% VAT applies to confirmed exports of goods. To confirm the zero rate, a document package is submitted to the tax authority, and the export contract is the first mandatory element of that package. Our template contains all the clauses required to pass the tax audit.
FCA is the most common choice for exports from Russia: you hand over the goods to the carrier on Russian territory, and the buyer bears further risk. DAP — you deliver to the buyer's warehouse abroad. DDP — full delivery with duties paid in the destination country. Incoterms do not apply to export of services. The deadline for receiving payment from the foreign buyer must be stated directly in the export contract. The bank monitors that proceeds arrive within this deadline: a violation carries a fine under Part 4–5, Art. 15.25 of the Administrative Offences Code. Export Contract: What a Russian Seller Needs to Know

A Russian company entering a foreign market starts with a properly drafted export contract. It is the basis for every subsequent operation: the bank relies on it when crediting currency proceeds, customs relies on it when processing the export declaration, and the tax authority relies on it when verifying the right to the 0% VAT rate. Without an export contract, none of these authorities will accept the document package.

Export contract and currency control under 173-FZ

The authorized bank must confirm that every incoming currency payment is backed by documentary grounds. Under Bank of Russia Instruction No. 181-I, for export contracts worth 6 million rubles or more, the financial institution opens a file and assigns a unique registration number. The document must state the performance deadline and the deadline for receiving proceeds — violating the latter triggers an administrative fine.

Confirming 0% VAT on export of goods

The zero VAT rate applies to documented exports of goods. The package for the tax authority includes: the export contract, the customs declaration marked with actual export, and transport documents. Incoterms on export and the transfer of risk to the buyer

The delivery basis determines the moment at which the risk of loss of the goods passes from the Russian seller to the foreign buyer.
