The word "template" means different things in the context of international contracts. An accountant searches for a "foreign trade contract template" and finds a generic Word file with placeholders like "[BUYER NAME]". Such a document still needs work: entering the details, finding the HS code in a directory of thousands of entries, selecting the current Incoterms 2020 conditions, and checking compliance with bank requirements. And there's no guarantee that the downloaded blank form is up to date.
The Контракт.Онлайн generator doesn't produce a blank template — it produces a personalized document: it already contains the name and details of your companies, an HS code selected from the database, specific Incoterms 2020 conditions, and all the sections that the authorized bank checks under Bank of Russia Instruction No. 181-I. The difference is fundamental: a standard blank form is a rough draft, while a personalized document is a working tool.
The template structure depends on the type of deal. Import of goods: focus on cargo receipt conditions, the supplier's SWIFT details, and the FOB/CIF basis. Export of goods: deadlines for receiving proceeds, contract details for the 0% VAT register, and the FCA/DAP basis. The contract itself does not mention the CISG: it is governed by the legislation of the Russian Federation, and for sales of goods the Convention applies as part of Russian law, since Russia is a party to it. An arbitration clause and a governing-law clause are included in every template — the template names the ICAC at the Russian CCI, and the parties may agree on another venue in the finished document. With the bilingual EN/RU format no notarized translation is needed.
