An international commercial contract is the legal basis for any cross-border transaction between a Russian and a foreign party. Without it, the authorized bank won't process a currency payment, and customs won't clear the import or export declaration. A properly drafted international commercial contract protects both parties and opens the way to international settlements.
The United Nations Convention on Contracts for the International Sale of Goods (CISG), ratified by more than 90 countries, does not prescribe a strict form, while an offer must indicate the goods, the quantity and the price (Art. 14). The standard form of an international commercial contract includes a bilingual EN/RU text, a governing-law section, and an arbitration clause. The generator builds the document in strict compliance with these requirements.
Under Bank of Russia Instruction No. 181-I, the authorized bank checks every incoming and outgoing currency payment: the amount, currency, and purpose must match the terms of the international commercial contract. For deals worth at least 3 million RUB (import) or 10 million RUB (export), the bank opens a file and assigns a UNK (unique contract number).

Options include the ICAC at the Russian Chamber of Commerce and Industry, the ICC Arbitration Institute, or the court at one of the parties' place of business.
