An international commercial contract is the legal basis for any cross-border transaction between a Russian and a foreign party. Without it, the authorized bank won't process a currency payment, customs won't clear the import or export declaration, and the tax authority will refuse the VAT deduction. A properly drafted international commercial contract protects both parties and opens the way to international settlements.
The United Nations Convention on Contracts for the International Sale of Goods (CISG), ratified by more than 90 countries, does not prescribe a strict form but does set requirements for the essential terms: subject, price, deadlines. The standard form of an international commercial contract includes a bilingual EN/RU text, a governing-law section, and an arbitration clause. The generator builds the document in strict compliance with these requirements.
Under Bank of Russia Instruction No. 181-I, the authorized bank checks every incoming and outgoing currency payment: the amount, currency, and purpose must match the terms of the international commercial contract. For deals above 3 million RUB (import) or 6 million RUB (export), the bank opens a file and assigns a UNK (unique contract number). Errors in the parties' details or vague wording are a common cause of payment delays.
The delivery basis under Incoterms 2020 is a mandatory element of any international commercial contract for the supply of goods. It determines who bears the freight and insurance costs, at what point risk passes from seller to buyer, and who handles customs formalities. FCA and DAP are more commonly used for exports from Russia, while FOB and CIF are typical for imports. The generator supports all 11 terms.
