Questions about the international commercial contract

Governing law, the CISG and dispute resolution in a commercial contract

It is an agreement between parties from different states for the supply of goods or the provision of services for payment. It is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG) and national currency control legislation. It serves as the basis for the international payment and customs clearance.
There are four main types: import of goods — purchasing from a foreign supplier; export of goods — selling to a foreign buyer; import of services — engaging a foreign contractor; export of services — working for a foreign client. The generator covers all four types.
The standard form includes: a preamble with the parties' details, the subject of the contract, price and payment terms, delivery terms under Incoterms, performance deadlines, liability of the parties, force majeure, governing law, and an arbitration clause. The language is bilingual EN/RU with parallel columns.
Under 173-FZ, for deals from 3 million RUB (import) or from 10 million RUB (export), the bank registers the international commercial contract and assigns a UNK (unique contract number). Below these thresholds registration isn't required, but the contract itself is still mandatory as the basis for the payment.
The parties may choose the governing law: the seller's country, a neutral jurisdiction, or CISG as a supranational standard. The generator offers ready-made arbitration clauses with a choice of jurisdiction and dispute resolution body.
Russian government authorities accept documents in Russian. The foreign counterparty works in English. The generator produces a bilingual international commercial contract with parallel EN/RU columns — both texts carry equal legal weight, and no notarized translation is needed.

International Commercial Contract: Structure and Requirements

An international commercial contract is the legal basis for any cross-border transaction between a Russian and a foreign party. Without it, the authorized bank won't process a currency payment, customs won't clear the import or export declaration, and the tax authority will refuse the VAT deduction. A properly drafted international commercial contract protects both parties and opens the way to international settlements.

The form of an international commercial contract under CISG

The United Nations Convention on Contracts for the International Sale of Goods (CISG), ratified by more than 90 countries, does not prescribe a strict form but does set requirements for the essential terms: subject, price, deadlines. The standard form of an international commercial contract includes a bilingual EN/RU text, a governing-law section, and an arbitration clause. The generator builds the document in strict compliance with these requirements.

International commercial contracts and Russian currency control

Under Bank of Russia Instruction No. 181-I, the authorized bank checks every incoming and outgoing currency payment: the amount, currency, and purpose must match the terms of the international commercial contract. For deals above 3 million RUB (import) or 10 million RUB (export), the bank opens a file and assigns a UNK (unique contract number). Errors in the parties' details or vague wording are a common cause of payment delays.

Incoterms and risk allocation in an international contract

The delivery basis under Incoterms 2020 is a mandatory element of any international commercial contract for the supply of goods. It determines who bears the freight and insurance costs, at what point risk passes from seller to buyer, and who handles customs formalities. FCA and DAP are more commonly used for exports from Russia, while FOB and CIF are typical for imports. The generator supports all 11 terms.

Bilingual format and the arbitration clause

A bilingual international commercial contract with parallel English / Russian columns has become standard practice: both texts carry equal legal weight, and no notarized translation is needed. The arbitration clause specifies the court or arbitration body for resolving disputes. The most common options are the ICAC at the Russian Chamber of Commerce and Industry, the ICC Arbitration Institute, or the court at one of the parties' place of business.
