Drafting an international contract is the first and most important step of any foreign trade deal. This document is the basis for every subsequent operation: the bank relies on it when crediting a currency payment, customs when processing the cargo declaration, and the Federal Tax Service when verifying the right to a zero VAT rate. A properly drafted international contract protects you in arbitration and eliminates disputes over governing law.
Under Russian law and the CISG convention, an international contract of sale must be concluded in writing. Notarization, state registration, or other formalities are not required. Standard practice is a bilingual document with parallel columns in Russian and English. Both texts carry equal legal weight; if interpretations diverge, priority is given to the language specified in the governing-law clause.
Drafting an international contract requires including the mandatory terms: the subject of the deal with an exact description of the goods or services and the HS code for goods, the price and settlement currency, the performance deadlines, and the parties' details with bank information. Additionally: delivery terms under Incoterms 2020, the payment procedure, penalties for breach, a force majeure clause, and an arbitration clause. The absence of any mandatory term is grounds for the bank to refuse the payment.
When executing an international contract, it is important to account for the requirements of Federal Law No. 173-FZ and Bank of Russia Instruction No. 181-I. Export contracts from 6 million rubles and import contracts from 3 million rubles must be registered with the authorized bank and assigned a unique registration number. The document must state the performance deadline — the bank monitors compliance with it.
